Terms of Service

By using Sunshine, you’re agreeing to the following terms.

Sunshine, is a trading name of MoveThrough Ltd.

These Terms of Service (“Terms”), in conjunction with our Privacy Policy, are the entire Agreement between MoveThrough Ltd (“MoveThrough”, “We”, “Us”) and you (“User”). This Agreement governs your use of the Sunshine websites, applications, and services (collectively, “Service” or “Sunshine”).

By accessing or using Sunshine, you are acknowledging that you have read and agree to be bound by these Terms. If you disagree with any part of the Terms, then you may not access the Service.

Communications

You agree that we may send you emails related to your use of Sunshine.

Account Registration

In order to use Sunshine, you must register for an account, and in doing so, you agree to provide accurate, current, complete information, and keep such information updated.

You are responsible for maintaining the security of your account. MoveThrough Ltd cannot and will not be liable for any loss or damage from your failure to complete with this obligation.

You understand and agree that any activity that occurs under your account is your responsibility, and should there be any activity under your account which violates the Terms, you will be held liable for such activity.

Acceptable Use

You may only use the Sunshine for lawful purposes and in accordance with these terms. You agree not to use the Service in any way that violates any applicable laws or regulations.

Examples of non-acceptable use include, but are not limited to:

  • Sending emails containing, or otherwise uploading pornographic material.
  • Sending emails promoting illegal activities or substances.
  • Sending emails promoting cash for gold schemes or other financial scams.
  • Sending emails containing deceptive or misleading content.
  • Sending emails containing malware or other harmful software.
  • Sending emails that infringe upon the intellectual property rights of others.
  • Sending emails that violate the privacy or rights of individuals or entities.

This list of examples is not exhaustive, and MoveThrough Ltd reserves the right to determine, at it’s sole discretion, what constitutes non-acceptable use of our Service.

Maintaining Low Spam and Bounce Rates

As part of using Sunshine, you agree to adhere to industry-standard practices to maintain low spam and bounce rates.

You agree to monitor and ensure that your collective emails maintain a spam rate below 0.1%. This includes regularly reviewing your email content, recipient lists, and engagement metrics to minimise the likelihood of emails being flagged as spam.

Additionally, you agree to monitor and ensure that your bounce rate remains below 10%. This involves regularly updating and maintaining your email contact lists, removing invalid or outdated email addresses, and addressing any issues with email delivery promptly.

Failure to maintain low spam and bounce rates may result in the suspension or termination of your account and access to Sunshine, at the sole discretion of MoveThrough.

We may provide guidelines, tips, or tools to assist you in maintaining low spam and bounce rates, but ultimately, you accept sole responsibility to ensure compliance with these standards.

Intellectual Property Right

The Service and its original content (excluding User Content) are and will remain the exclusive property of the Company and its licensors. The Service is protected by copyright, trademark, and other laws of both the United Kingdom and foreign countries.

You may not use the Company’s trademarks or other intellectual property without the prior written consent of the Company.

User Content

You retain ownership of any content that you submit, post, or display on or through the Service ("User Content"). By submitting, posting, or displaying User Content, you grant the Company a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such User Content in any and all media or distribution methods (now known or later developed).

Termination

We may terminate or suspend your account and access to Sunshine immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease.

Limitation of Liability

In no event shall MoveThrough Ltd, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorised access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not the Company has been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Force Majeure

Neither party shall be liable or responsible for any failure to perform, or delay in performance, or any of its obligations under these Terms in the event it’s caused by a force majeure event - events of superior force.

A force majeure event includes, but is not limited to, acts of God, war, terrorism, civil commotion, labor disputes, strikes, accidents, fire, flood, earthquake, storm, or other natural disasters, governmental regulations, restrictions, or orders, or any other cause beyond the reasonable control of the party.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.

Changes to Terms

We reserves the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
